The deal follows a three-year transition for the pharmaceutical giant, which was launched in August, after a three-year review process that included a review of the company's performance. Pfizer's new chief executive officer, Andrew Witty, will serve as CEO of the company.
The divestment is expected to begin on Tuesday, when the company will become the sole remaining shareholder in the U. S. giant, although the company is still expected to file for approval before the end of this year.
The deal is expected to close after Pfizer and its partner Eli Lilly face legal troubles. The companies will share the profits and other risks of the transaction, which will be reported in a separate announcement. Pfizer's patent on Viagra expires in May, while Lilly's patent on the antidepressant Cymbalta expires in April.
The companies have been discussing the divestment and closing the transaction in the hope of completing the deal without first obtaining an outright majority of the worldwide sales, the Times reported.
